Terms of Service

These Terms of Service ("Terms") govern your use of the services provided by Alumitherm Business Solutions (ABS), a trading division of Alumitherm Assist Ltd ("we", "us", "our"). By engaging our services or using this website, you agree to these Terms.

2. Services

We provide back-office support services to Irish contractors and subcontractors, which may include (but are not limited to):

  • RAMS and method statement preparation
  • Tender writing and PQQ submission
  • Contractor compliance and approval packs
  • Daywork management and reporting
  • Estimating support
  • Bookkeeping and administrative support
  • Professional website creation and online presence
  • Bespoke AI and admin automation systems

The specific scope of work for your engagement will be set out in a separate proposal, quotation, or service agreement.

3. Engagement and quotations

Quotations provided by ABS are valid for 30 days from the date of issue unless otherwise stated. A binding agreement is formed when you accept a quotation in writing (including by email) or when you make a payment against a quotation. We reserve the right to decline or withdraw from any engagement at our sole discretion.

4. Fees and payment

Our fees are as set out in the applicable quotation, proposal, or pricing page on our website. All prices are quoted in euro and are exclusive of VAT unless stated otherwise. Payment terms are 14 days from invoice date unless otherwise agreed in writing.

We reserve the right to charge interest on overdue amounts in accordance with the European Communities (Late Payment in Commercial Transactions) Regulations 2012.

5. Your responsibilities

To enable us to deliver our services effectively, you agree to:

  • Provide accurate, complete, and timely information, documentation, and materials we reasonably request
  • Respond to our queries and requests for review or approval within reasonable timeframes
  • Ensure you have the authority and any necessary third-party consents to share information with us
  • Review all work we produce before it is submitted, signed, or issued to any third party

6. Our role and limitations

ABS provides administrative, documentation, and support services. We are not your employer, legal advisor, health and safety consultant of record, tax advisor, or financial advisor. Our work is intended to support your business operations, but you remain responsible for:

  • The accuracy and completeness of any document, tender, or submission bearing your name or signature
  • Compliance with all applicable laws, regulations, and contractual obligations in your own trade and business
  • Decisions about pricing, scope of work, and acceptance of contracts or tenders
  • Health and safety on site and in your operations

Where our work involves AI-assisted drafting or automation, it is always subject to human review by our team before delivery, and final review and sign-off by you before use.

7. Intellectual property

Any templates, systems, software, methodologies, or tools developed by ABS remain our intellectual property unless a specific written agreement transfers ownership to you. You are granted a non-exclusive licence to use deliverables we provide for the purposes of your business.

Any materials, information, or documentation you provide to us remain your property. You grant us a licence to use such materials solely for the purpose of delivering the agreed services.

8. Confidentiality

We will treat any non-public information you share with us as confidential and will not disclose it to third parties except as necessary to deliver the agreed services or as required by law. We expect the same treatment from you in relation to any commercially sensitive information we share with you.

9. Liability

We will use reasonable care and skill in providing our services. However, to the maximum extent permitted by law:

  • Our total liability to you in respect of any single engagement is limited to the fees paid to us by you for that engagement in the 12 months preceding the event giving rise to the claim.
  • We will not be liable for any indirect, consequential, or purely economic loss, including loss of profits, loss of tenders, loss of business opportunities, loss of goodwill, or loss of data.
  • Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation, or any other liability which cannot be limited or excluded by law.

10. Termination

Either party may terminate an ongoing engagement by giving 30 days' written notice, unless a different notice period is agreed in writing. We reserve the right to terminate any engagement immediately if you fail to pay outstanding fees, breach these Terms, or act in a manner that damages our business or reputation. On termination, all outstanding fees for work completed or in progress become payable.

11. Website use

The content of abs.alumitherm.com is provided for general information only. We take reasonable care to ensure the information on this website is accurate and up to date, but we do not warrant its completeness or accuracy. Use of this website is at your own risk.

All content, trademarks, and branding on this website are owned by Alumitherm Assist Ltd unless otherwise indicated. You may not reproduce, copy, or redistribute our content without prior written permission.

12. Data protection

Our handling of your personal data is governed by our Privacy Policy, which forms part of these Terms.

13. Governing law

These Terms are governed by the laws of Ireland. Any dispute arising out of or in connection with these Terms or our services will be subject to the exclusive jurisdiction of the Irish courts.

14. Changes to these Terms

We may update these Terms from time to time. The version in force at the time of your engagement will apply to that engagement. We will notify existing clients of material changes affecting ongoing work.
